AT1 bond prospectus

Instrument Overview

0TO9's Additional Tier 1 (AT1) instrument is a perpetual, deeply subordinated capital instrument that qualifies as Tier 1 regulatory capital. It has no fixed maturity date and is callable by 0TO9 at its discretion from the first call date, subject to regulatory approval.

Regulatory Capital Treatment

As an AT1 instrument, this bond is subject to loss absorption on a going-concern basis: if 0TO9's Common Equity Tier 1 (CET1) ratio falls below a specified trigger level, the instrument is written down or converted to equity, in accordance with the Capital Requirements Regulation (CRR).Coupon payments are entirely discretionary and non-cumulative — 0TO9 may cancel any coupon payment at its sole discretion, including where required by Finansinspektionen, without this constituting an event of default.

Risk Factors

Loss absorption: holders may lose some or all of their investment if the instrument is written down or converted on a trigger event, ahead of equity holders being wiped out entirely. No fixed maturity: the instrument is perpetual. Holders have no right to demand repayment; redemption occurs only if and when 0TO9 exercises a call, subject to regulatory approval.Coupon cancellation: coupon payments are discretionary and may be cancelled at any time without triggering default, at 0TO9's discretion or at the direction of Finansinspektionen. Subordination: the instrument ranks below all other creditors and subordinated debt, senior only to share capital.
